1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Veltrionics ("Company," "we," "us," or "our") concerning your access to and use of the website veltrionics.pro and the professional coaching services provided, including but not limited to public speaking training, interview preparation, presentation skills development, and related educational services.

By accessing our website or engaging our services, you agree that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not access our website or use our services.

2. Eligibility

By using our services, you represent and warrant that:

• You are at least 18 years of age
• You have the legal capacity to enter into binding contracts
• You are not prohibited from using our services under applicable laws
• All information you provide is accurate, current, and complete
• You will maintain the accuracy of such information

3. Services Description

3.1 Professional Coaching Services

Veltrionics provides professional coaching and training services, including:

• Interview Preparation: One-on-one or group coaching sessions focused on interview techniques, response strategies, body language, and confidence building
• Public Speaking Training: Advanced oratory skills development, voice control, stage presence, and audience engagement techniques
• Presentation Skills: Training in creating and delivering impactful presentations, visual communication, and storytelling
• Professional Communication: General communication skills enhancement for career advancement
• Personalized Coaching Plans: Customized programs tailored to individual client needs and objectives

3.2 Service Delivery Methods

Our services may be delivered through:

• In-person sessions at our Coimbra location
• Virtual sessions via video conferencing platforms
• Hybrid combinations of in-person and virtual sessions
• Group workshops and seminars
• Self-paced online materials and resources

4. Registration and Account

4.1 Account Creation

To access certain services, you may be required to create an account. When creating an account, you agree to:

• Provide accurate, complete, and current information
• Maintain and promptly update your account information
• Maintain the security of your password
• Accept responsibility for all activities under your account
• Immediately notify us of any unauthorized use of your account

4.2 Account Termination

We reserve the right to suspend or terminate your account if:

• You violate these Terms
• You provide false or misleading information
• Your actions may cause legal liability for us or other users
• You engage in fraudulent or illegal activities

5. Booking and Scheduling

5.1 Session Booking

When booking coaching sessions, you agree to:

• Provide accurate availability information
• Confirm appointments at least 24 hours in advance
• Arrive on time for in-person sessions
• Be ready and available for virtual sessions at the scheduled time
• Have necessary technology and stable internet connection for virtual sessions

5.2 Cancellations and Rescheduling

Client-Initiated Changes:

• More than 48 hours notice: Full rescheduling without penalty
• 24-48 hours notice: Rescheduling fee of 25% of session cost
• Less than 24 hours notice: Rescheduling fee of 50% of session cost
• No-show: Full session fee charged, no refund

Company-Initiated Changes:

If we need to cancel or reschedule a session, we will provide as much notice as possible and offer alternative dates without penalty to you.

5.3 Late Arrivals

If you arrive late to a session, the session will end at the originally scheduled time, and no refund or extension will be provided for the missed portion.

6. Payment Terms

6.1 Pricing

Current pricing for our services:

All prices are in Euros (EUR) and include applicable VAT unless otherwise stated.

6.2 Payment Methods

We accept the following payment methods:

• Credit cards (Visa, Mastercard, American Express)
• Debit cards
• Bank transfers (for packages over €500)
• PayPal

6.3 Payment Schedule

• Single Sessions: Payment required at time of booking
• Monthly Packages: Payment due on the 1st of each month
• Complete Programs: 50% deposit required at enrollment, balance due before first session

6.4 Late Payments

If payment is not received by the due date:

• Sessions may be suspended until payment is received
• A late fee of 5% of the outstanding amount may be applied after 7 days
• Access to services and materials may be restricted
• Your account may be terminated after 30 days of non-payment

6.5 Price Changes

We reserve the right to modify our pricing at any time. Price changes will not affect existing contracts or pre-paid packages, but will apply to new bookings and renewals. We will provide at least 30 days' notice of any price increases.

7. Intellectual Property Rights

7.1 Company Content

All content on our website and provided during our services, including but not limited to text, graphics, logos, images, audio clips, digital downloads, data compilations, software, coaching materials, and methodologies, is the property of Veltrionics and is protected by Portuguese and international copyright, trademark, and other intellectual property laws.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use materials provided during your coaching sessions for personal, non-commercial use
• Download and print materials for your personal reference

You may NOT:

• Reproduce, distribute, or publicly display our materials
• Create derivative works based on our content
• Use our materials for commercial purposes
• Share access credentials or materials with third parties
• Remove copyright or proprietary notices from materials

7.3 Client Content

You retain ownership of any content, materials, or information you provide during coaching sessions. However, by using our services, you grant us a limited license to use your testimonials, feedback, and success stories for marketing purposes (with your explicit consent and proper attribution).

8. Confidentiality

8.1 Our Commitment

We maintain strict confidentiality regarding all information shared during coaching sessions. We will not disclose your personal information, session content, or professional objectives to third parties without your explicit consent, except as required by law.

8.2 Your Responsibility

You agree to keep proprietary coaching methodologies, materials, and techniques confidential and not share them with third parties without our written permission.

9. Code of Conduct

When using our services, you agree to:

• Treat coaches, staff, and other clients with respect and professionalism
• Arrive prepared for scheduled sessions
• Complete any assigned exercises or homework
• Provide honest feedback about your progress and challenges
• Refrain from disruptive or inappropriate behavior
• Not record sessions without explicit prior permission
• Not use services for any illegal or unauthorized purpose

10. Results and Guarantees

10.1 No Guarantee of Specific Results

While we are committed to providing high-quality coaching services, we cannot guarantee specific outcomes, results, or success levels. Your results depend on various factors including:

• Your commitment and effort
• Consistent practice and application of techniques
• Individual circumstances and baseline skills
• External factors beyond our control

10.2 Professional Coaching, Not Therapy

Our services focus on professional skills development and are not a substitute for professional medical advice, diagnosis, or treatment for psychological conditions. If you are experiencing mental health issues, we recommend consulting with a licensed mental health professional.

11. Liability and Disclaimers

11.1 Service Availability

While we strive to provide uninterrupted service, we do not guarantee that:

• Our website will be available at all times
• Services will be error-free or uninterrupted
• Defects will be corrected immediately
• The website or servers are free of viruses or harmful components

11.2 Limitation of Liability

To the maximum extent permitted by law, Veltrionics, its directors, employees, partners, agents, suppliers, or affiliates shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or use
• Cost of procurement of substitute goods or services
• Any damages arising from your use or inability to use our services

Maximum Liability: In no event shall our total liability exceed the amount paid by you for the specific service giving rise to the claim during the three (3) months preceding the event.

11.3 Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Indemnification

You agree to defend, indemnify, and hold harmless Veltrionics, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your violation of these Terms
• Your use of our services
• Your violation of any third-party rights
• Any misrepresentation made by you
• Your negligent or willful misconduct

13. Term and Termination

13.1 Term

These Terms remain in effect while you use our services or maintain an account with us.

13.2 Termination by You

You may terminate your relationship with us at any time by:

• Discontinuing use of our services
• Closing your account (if applicable)
• Providing written notice of termination

Note: Termination does not relieve you of payment obligations for services already rendered or booked.

13.3 Termination by Us

We may terminate or suspend your access immediately, without prior notice, if:

• You breach these Terms
• You provide false information
• We are required to do so by law
• We cease to provide services

13.4 Effect of Termination

Upon termination:

• Your right to use our services ceases immediately
• Any outstanding payment obligations remain due
• Provisions that should survive termination will remain in effect
• We may delete your account and data after 90 days

14. Dispute Resolution

14.1 Informal Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms, we encourage you to first contact us at [email protected] to seek an informal resolution.

14.2 Mediation

If informal resolution is unsuccessful, both parties agree to attempt to resolve the dispute through mediation before resorting to litigation. Mediation costs will be shared equally between parties.

14.3 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Portugal, without regard to its conflict of law provisions.

14.4 Jurisdiction

Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the courts of Coimbra, Portugal, and you consent to the personal jurisdiction of such courts.

15. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to:

• Acts of God (natural disasters, pandemics)
• War, terrorism, or civil unrest
• Government actions or regulations
• Strikes or labor disputes
• Internet or telecommunications failures
• Power outages or equipment failures

16. Modifications to Terms

We reserve the right to modify these Terms at any time. When we do, we will:

• Update the "Last Updated" date at the top of this document
• Notify you via email (if you have provided an email address)
• Post a prominent notice on our website

Your continued use of our services after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using our services.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Veltrionics regarding the use of our services.

17.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

17.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

17.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

17.5 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.

17.6 Language

These Terms are provided in English. In case of translation into other languages, the English version shall prevail in case of any discrepancy.
